Seychelles Special License Companies

The Seychelles Special License Company or the CSL is a company which is registered in the offshore jurisdiction which has been granted a special license by the Seychelles International Business Authority (SIBA). The CSL was introduced in 2003.The license granted by SIBA allows the Seychelles Special license company to operate as a low tax company in the jurisdiction. The Seychelles CSL will be taxed at a very low rate of 1.5 % of the annual profits of the company. The Seychelles CSL can operate as an offshore and onshore company.

The process which must be followed for the formation of a Seychelles Special License Company is very easy. First the company must be registered as a local or domestic company in agreement with the stipulations of the Seychelles Company Ordinance of 1972. This is then followed by an application to the Seychelles International Business Authority for a Special License. The application must be sent together with the following information:

- The names and address of the company’s shareholders. If nominee shareholders are being used the names and addresses of the s who are being represented by the nominees must be submitted

- The names and addresses of the company directors

- The name and address of the registered agent

- The name and address of the company Secretary ( the company must have a secretary and all times and legislation states that this person must be a resident of the tax haven)

- A detailed description of all the types of business operations to be carried out by the Special License Company

- A signed copy of the Memorandum and Articles of Association of the Company

- A signed statement by a Lawyer or legal practitioner in the offshore jurisdiction of Seychelles saying that the company has been registered in Seychelles under the Companies Act of 1972 

As long as all the proper documents are submitted and approved the Seychelles International Business Authority will issue the company a Special license. The documents to be submitted must be written in English or French. Documents written in any other language must be accompanied by a translated and certified copy of one of the aforementioned languages.

A Seychelles special license company one incorporated can carry out the following business operations; act as investment fund management, offshore banking, offshore insurance company, marketing company, holding company, reinsurance company and any other company which has been approved by the Seychelles International Business Authority.

A Seychelles Special License Company must at the end of each financial year submit to the Seychelles International Business Authority its financial statements. This must be done in no more than ninety (90) days after the company’s financial year has ended. All Seychelles companies must pay an annual license fee at the end of each financial year.
